1. About these terms
These terms apply to your use of this website and to every campaign you book with BaoBuzz Africa, a product of FroNet Inc., RC 7157939("we", "us"). By using the site, sending a campaign request or confirming a campaign order, you agree to them. If you are booking for a business, you confirm you have authority to bind that business. If a signed agreement with us says something different, the signed agreement wins.
2. Our services
We arrange transit advertising on commercial vehicles in Nigeria: danfo buses, korope, micra cars, keke maruwa (tricycles) and other buses. This can include design checks, printing, wrapping or branding, campaign management and performance reporting.
3. How booking works
- Request. You tell Bo, our chat assistant, about your goals and what you want. You get an estimate.
- Review. Our team reviews your request and may call or email you with questions.
- Campaign order. We email you a campaign order with the details and the final price.
- Your confirmation. You confirm the order using the button or link in the email.
- Invoice. We send you an invoice.
- Payment. You pay as set out in the invoice.
- Dashboard. When payment lands, we email you a magic link to sign in to your dashboard, and your campaign moves into approvals, printing and wrapping.
No campaign is booked until you have confirmed a campaign order and we have received payment.
4. Estimates and prices
Estimates shown on the site or by Bo are approximate and do not bind either of us. A price becomes binding only when it appears in a campaign order that you have confirmed. Prices vary by state, vehicle type, ad space, number of vehicles and campaign length, and we can change our rates at any time for new orders. Unless stated, prices are in Nigerian naira (₦) and include VAT.
5. Minimum campaign size
The minimum campaign is 10 vehicles. We may agree a smaller test in special cases, but only in writing.
6. Your ad content
You are responsible for everything in your ads. You promise that your content:
- is lawful, truthful and not misleading;
- does not infringe anyone's rights, and you own or have permission to use all names, logos, images, music and text in it;
- follows Nigerian advertising rules, including the Advertising Regulatory Council of Nigeria (ARCON) requirements and any approvals needed for your industry (for example food, drugs, finance, alcohol or political content); and
- is not offensive, hateful, sexually explicit, or likely to cause public disorder or distract drivers unsafely.
We may refuse, ask you to change, or remove any ad at any time if we think it breaks these rules, the law or a partner's requirements. Where we have to refuse or remove content because of your breach, you are not entitled to a refund for the time the ad was not displayed.
7. Approvals, printing and wrapping
Before printing we will share a proof of your design for approval. Once you approve it, you are responsible for any mistakes in the approved artwork. Printing and wrapping happen after approval and payment. Colours on screens and printed materials can differ slightly, and materials may fade or wear with sun, rain and road use.
8. Timelines
Start dates and timelines we give you are estimates. They depend on payment, your approvals and artwork, printing, vehicle availability and conditions outside our control. We will keep you informed of delays, but we are not liable for a late start that is not our fault.
9. Vehicles and routes
Vehicles are owned and driven by independent operators, partnered with us through transport unions. Vehicle availability, routes, working hours and locations can change (for example because of repairs, traffic, weather, road closures, strikes or union decisions). If a vehicle drops out, we will try to replace it with a similar one. We do not guarantee that a particular vehicle will be on a particular street at a particular time.
10. Cancellations and changes
- Before payment: you can cancel or change an order free of charge.
- After payment: you can ask to cancel or change an order. We will refund what is left after deducting costs already spent or committed, such as design, printing, materials, wrapping and operator payments, plus an administration fee of 30%. Once vehicles are branded and live, [no refund / a pro-rata refund of the unused period] applies.
- Changes to artwork or vehicle numbers after approval may cost extra and may delay your start date.
11. Payment and invoicing
We invoice you after you confirm the campaign order. Pay by the method in the invoice, using the payment reference we give you. Payment is due within 48 hours of the invoice, and printing starts once payment is received. If you pay late, we may pause the campaign and charge [reasonable late fees]. You are responsible for any bank charges.
12. Reporting and your dashboard
Your dashboard shows numbers such as estimated visibility, QR scans, website visits and active vehicles. These are estimates based on route data, field checks and the tools we use. They are not exact counts and they are not a guarantee of results. See our Disclaimer.
13. Intellectual property
You keep ownership of your brand, logos and artwork. You give us permission to use, copy and display them to run your campaign. Unless you tell us not to, we may use photos of the finished campaign (which may show your brand) in our portfolio and social media. Our website, name, logo, Bo, and designs are ours or our licensors' and you may not copy them without permission.
14. Using the website
Do not misuse the site: no attacks, scraping, fake requests, or trying to get into accounts or areas that are not yours. Keep your sign-in links private. We may suspend access if these rules are broken.
15. Limits on our responsibility
We do our best to deliver what we agree. To the fullest extent the law allows: we are not responsible for indirect or consequential loss, such as lost profit, lost sales or damage to reputation; and our total liability to you for anything connected to a campaign is limited to the amount you paid us for that campaign. Nothing in these terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
16. Indemnity
You agree to cover us for losses, claims, fines and reasonable legal costs that arise from your ad content, from your breach of these terms, or from your breach of the law or someone's rights.
17. Events outside our control
We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, fuel shortages, strikes, protests, government action or road restrictions, power or internet outages, and failures of third-party providers. If such an event lasts a long time, either of us may end the affected part of the campaign and we will deal fairly with refunds under section 10.
18. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. We will first try to settle any dispute by talking it through in good faith. If that fails, the courts of Lagos State have jurisdiction.
19. Changes to these terms
We may update these terms. Changes apply to new orders from the "Last updated" date. A campaign order you have already confirmed stays on the terms in force when you confirmed it.
20. General
If any part of these terms is found invalid, the rest stays in force. If we do not enforce a right straight away, we have not given it up. You may not transfer your order to someone else without our written consent. How we handle personal data is explained in our Privacy Policy.
